CoffeeDNA: Terms of Use

AGREEMENT

• In consideration that the scope of CoffeeDNA database is the diffusion and dissemination of molecular data and molecular tools as well as the development of collaborations among scientists;
• In consideration that the collaboration can be realised through many ways, as: joint publications, exchange of material, exchange of information and any other form of support to research;
• In consideration of the need of protecting the intellectual property of the information here stored against misuse or commercial exploitation;
• In consideration that the original information has been provided by various Institutions and scientists as specifically stated by the relevant logos at each sequence or information;
• In consideration that the supplying or procuring the supply to you of information, material, meetings, correspondence and other interactions takes place through www.coffeedna.net between:

Laboratorio di Genetica, Dipartimento di Biologia (DipBio),
Università di Trieste, P.le Valmaura 9, Trieste, Italy,
and
………………………………………………………..…………………,

you hereby undertake to DipBio and to the person(s) who originally provided the information or material, the following:-

• You will keep all the information or material secret and confidential and will not without our prior written consent disclose or reveal the information or material or any part thereof to any person other than those of your officers, employees and advisers to whom it is necessary to reveal the information or material for the purpose specified in paragraph 2 below.
• You will not use the information or material for any purpose other than that of any contract or specified interaction between the two organisations involved.
• You will not make, keep or reproduce any document or part thereof comprised in the information or material without our prior written consent.
• You will ensure that any information or material received by you will at all times be in your possession or under your control and will return to us any documents or copies thereof comprised in the information or material forthwith in the event that you do not participate in further transactions with DipBio.
• You will procure that any of the persons specified in paragraph 1 above to whom any of the information or material is disclosed shall act in relation thereto in all respects as if such person himself enters into an undertaking under the terms contained in this letter.
• The foregoing undertaking contained in paragraphs 1 to 5 shall not apply to such of the information or material as:- at the time of being obtained by you is within the public domain; or after being obtained by you comes within the public domain other than by reason of a breach by you of the undertakings contained in this letter; or is properly received by you from a third party who is rightfully in possession of it.
• You further acknowledge that the undertakings contained in this letter will extend to all information or material communicated to you and/or your advisers by our advisers.

Any controversy concerning the validity, interpretation or execution of this Agreement shall be judged according to the Italian laws at Trieste court. We have read and agreed the contents of this letter and agree to be bound by the terms thereof.
